Helios Card Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of the Helios Card and related services (collectively, the "Services") provided by Helios Card, Inc. ("Helios," "we," "us," or "our"). By applying for, activating, or using a Helios Card, you agree to be bound by these Terms.

The Helios Card is issued by Third National Corporation, Member FDIC, pursuant to a license from Visa U.S.A. Inc. Please also review the Issuer Privacy Policy for information about how your data is handled by our card issuing partner.

2. Eligibility

To be eligible for a Helios Card, you must:

• Be at least 18 years of age
• Be a resident of the United States
• Have a valid Social Security Number or Individual Taxpayer Identification Number
• Successfully complete our identity verification process
• Not be prohibited from using our Services by applicable law

3. Card Services

3.1 Crypto-Collateralized Spending

The Helios Card allows you to spend against your cryptocurrency collateral. Your spending limit is determined by the value of the collateral you deposit and maintain in your account.

3.2 Collateral Requirements

You must maintain sufficient collateral to cover your outstanding balance. If the value of your collateral falls below required thresholds, you may be required to add additional collateral or your spending privileges may be limited.

3.3 Card Types

We offer virtual and physical cards. Virtual cards are available immediately upon approval. Physical cards will be shipped to your verified address.

4. Fees and Charges

The following fees may apply to your Helios Card account:

• Annual fee: As disclosed during application
• Foreign transaction fee: As disclosed during application
• Late payment fee: As disclosed in your cardholder agreement
• Replacement card fee: As disclosed during request

All applicable fees will be disclosed to you before you incur them.

5. Your Responsibilities

As a cardholder, you agree to:

• Keep your card information secure and not share it with others
• Notify us immediately of any unauthorized transactions or security concerns
• Maintain accurate and current contact information
• Use your card only for lawful purposes
• Pay all amounts owed in accordance with your cardholder agreement
• Maintain required collateral levels

6. Prohibited Uses

You may not use your Helios Card for:

• Illegal activities or transactions
• Transactions in jurisdictions where the Services are prohibited
• Gambling or adult entertainment (unless legally permitted)
• Money laundering or terrorist financing
• Circumventing card network rules or regulations
• Any activity that violates these Terms or applicable law

7. Account Termination

We may suspend or terminate your account if you violate these Terms, fail to maintain required collateral, or engage in fraudulent or suspicious activity. You may also close your account at any time by contacting us, provided you pay all outstanding balances.

8. Dispute Resolution

If you have a dispute regarding a transaction, you must notify us within 60 days of the transaction date. We will investigate and respond in accordance with applicable law and card network rules.

9. Limitation of Liability

To the maximum extent permitted by law, Helios shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services. Our total liability shall not exceed the fees you have paid to us in the twelve months preceding the claim.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the updated Terms on our website and, where required, by providing you with direct notice. Your continued use of the Services after any changes constitutes your acceptance of the updated Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
